1. For the purpose of this Data Processing Schedule the following terms shall have the following meanings:
The Provider - Terry Forsey Consulting, a company registered in England and Wales with company number 06648545 and registered address at Haines Watts, 26-28 Headlands, Kettering, Northamptonshire, NN17 7HP
The Customer means any company to whom the Provider provides its services
each a “party” and together the “parties”
Applicable Laws means (for so long as and to the extent that they apply to the Provider) the law of the European Union, the law of any member state of the European Union and/or Domestic UK Law.
Data Protection Legislation: the UK Data Protection Legislation and (for so long as and to the extent that the law of the European Union has legal effect in the UK) the General Data Protection Regulation ((EU) 2016/679) and any other directly applicable European Union regulation relating to privacy.
Domestic UK Law means the UK Data Protection Legislation and any other law that applies in the UK.
UK Data Protection Legislation: any data protection legislation from time to time in force in the UK including the Data Protection Act 2018, the General Data Protection Regulation (EU) 2016/679 (“GDPR”) any other laws and regulations relating to the processing of personal data and privacy which apply to a party and, if applicable, the guidance and codes of practice issued by the relevant data protection or supervisory authority.
Personal Data: means any personal data (as defined in the Data Protection Legislation) provided to and/or processed by the Provider on behalf of the Customer in connection with the Agreement.
2. Both parties will comply with all applicable requirements of the Data Protection Legislation. This paragraph 2 is in addition to, and does not relieve, remove or replace, a party's obligations under the Data Protection Legislation.
3. The parties acknowledge that for the purposes of the Data Protection Legislation, the Customer is the data controller and the Provider is the data processor (where data controller and data processor and data processing have the meanings as defined in the Data Protection Legislation).
